Terms of Agreement for Gallery Representation
THE ARTIST AND THE GALLERY AGREE TO THE FOLLOWING TERMS:
Introduction
Welcome to Feather & Lawry Gallery. We are a Toowoomba-based commercial gallery representing a select group of Australian artists.
These Terms and Conditions outline the guidelines, responsibilities, and expectations between Feather & Lawry Gallery (“the Gallery”) and represented artists (“the Artist”).
By submitting an Expression of Interest (EOI) or entering into a representation agreement with the Gallery, you acknowledge and agree to the following terms.
The Gallery
Feather & Lawry Gallery is a Toowoomba-based commercial gallery showcasing a curated selection of Australian artworks to collectors, art lovers, and design clients.
Located at 4 Russell Street, Toowoomba, the Gallery operates Monday to Friday, 9:00am to 5:00pm, and also maintains an online shop via www.featherandlawrygallery.com.au.
Representation Period & Fees
Artist representation runs for a 12-month period (February–January), with renewals processed each February. If representation begins outside this period, the duration will be agreed upon and outlined in the digital agreement form.
Annual Representation Fee: $440 (GST inclusive)
This fee includes:
Exhibition and display opportunities at the Gallery
Promotion via website, online shop, newsletters, and social media
Art consultation opportunities with Feather & Lawry Design
Eligibility for commissions and project-specific opportunities
Collaborative design projects with Feather & Lawry Design clients where the design team see an opportunity
Payment Options:
Payable annually upon renewal – Unless otherwise discussed with the Feather & Lawry Gallery team
Invoice issued upon acceptance; prompt payment required
Artist Responsibilities
Supply of artworks
Artist is responsible for providing a minimum of 2 artworks, with a preference for 4 artworks depending on size, to the gallery throughout the representation period.
Ensure all artworks are created using high-quality materials, including professional-grade canvas and media.
Artworks are to be accompanied by high-quality digital images (approx. above 1mb) for promotional and approval purposes. Images are to be titled in the following manner: ARTWORK NAME_ARTIST FIRST AND LAST NAME_SIZE WxHmm_PRICE_1 (Must be sent as an attachment to ensure better quality)
The number at the end is only required if the artist is providing more than 1 image for 1 artwork. Should an artwork be provided with images that are not representative of the art will be asked to be re-sent.
Artworks in Gallery
Gallery will display the Artist’s name, the title of the work, artwork size, artwork medium, year and gallery floor price.
An Art story is preferred but we understand not all artworks may have an art story, please discuss with the Gallery team
Artwork rotation: Provide new artworks every 3–4 months to keep the gallery collection fresh and engaging for visitors.
Presentation Standards
All artworks must be professionally presented and ready for display. The gallery reserves the right to reject any artwork that does not meet presentation standards due to damage, poor-quality canvas, or unsuitable framing.
Framing is not required. Should a purchaser wish to have a piece framed, Feather & Lawry Gallery can arrange this as part of our Art Consultancy service and will be managed in consultation with the customer
The Artist will ensure their name and the artwork's title are on the back of all artworks.
Communication
Respond to gallery communications within 5 business days to ensure smooth coordination for exhibitions, marketing, and sales.
Inventory tracking
When artworks are delivered or collected from the gallery this will be communicated digitally through email and this will be considered confirmation by the artist and Gallery of transfer in or out.
Professional integrity
Feather & Lawry Gallery promotes artists through exhibitions, events, and media, while maintaining respectful and ethical business practices.
Artists are expected to refer any potential purchasers from within the Toowoomba Regional Council area to the Gallery. This supports both the artist’s professional reputation and the success of our partnership.
Sales Enquiries & Online Platform Exceptions
If an artwork is currently on display at Feather & Lawry Gallery, any sales enquiries — whether received directly by the artist or through other channels — must be referred to the Gallery. As the work is being actively exhibited and promoted by the Gallery, any resulting sale will be processed through the Gallery, and the standard 40% commission will apply.
The only exception to this arrangement is if the artwork is sold via the online platform Bluethumb, which independently takes a commission. In this case, the artist must notify the Gallery immediately so the artwork can be removed from the Gallery’s website and promotional materials. The Gallery will then issue an administration fee of $100 to the artist to cover associated costs. The artist will also be responsible for collecting the artwork from the Gallery and managing all aspects of shipping and delivery to the purchaser.
Delivery of artworks to the Gallery
Artist must first communicate with the Gallery any intention of delivering new works to ensure that there is adequate space and the galleries ability to accept additional artworks.
The artist will take full responsibility and financial responsibility in delivery and collection of artworks to and from the Gallery. This includes freight of artworks upon return to the artist should they not be sold or if the artist request, they are returned. The Artist shall arrange and pay for transport of the artwork to/from the Gallery and will be responsible for packing and transit insurance.
Collection of artworks from the Gallery
Artworks being collected from the gallery will be removed off the website the day of collection. Unless otherwise requested by the Artist.
Representation and exhibition exclusivity
Feather & Lawry Gallery holds exclusive rights to showcase and represent your work within the Toowoomba Regional Council area. Any additional exhibitions or art shows held within this region must be discussed and negotiated with the Gallery Coordinator prior to participation.

This agreement makes the Gallery the exclusive agent of the Artist within the Toowoomba Regional Council area. The Gallery may negotiate special terms for specific exhibitions or events upon written request by the Artist.
Gallery Responsibilities
Installation and display of work
The Gallery will be responsible for installing and displaying the artworks and will ensure that these activities are carried out by suitably qualified personnel.
The Gallery will curate all exhibitions with the input of artists in the case of solo and collaboration exhibitions held in the gallery.
Duty of care for the works
The Gallery:
Will handle all artworks/pieces with special care to prevent damage and deterioration to the Work. Artists are to advise of any special requirements with handling or packaging.
Will promptly notify the Artist if any artwork/piece is damaged or stolen.
Will inspect and condition report all work as they arrive at the Gallery. If we feel any transit damage, faults in the artwork or framing are not characteristic of the artwork, the Artist will be contacted promptly by the Gallery.
Insurance
Feather & Lawry Gallery hold insurance that covers fire, theft, flood and accidental damage to artworks kept on our premises. The cover will be dependent on the price and damage that occurs to the artwork. Please contact the Gallery should you have further questions.
It is out recommendation for the artist to have insurance coverage for their artworks to cover the works for transit to and from the gallery. This is the responsibility of the artist to obtain and keep current.
Feather & Lawry Gallery advises all artists to speak with an insurance broker to ensure that they are covered appropriately for their artworks.
Media & Marketing
By joining Feather & Lawry Gallery’s represented artist collective, you grant the Gallery permission to:
Photograph and use images of your artworks for promotional purposes
Feature your work across the Gallery’s website, social media, newsletters, advertising, and publicity
Use installation and exhibition photography that includes your work
These images may be used at the Gallery’s discretion for marketing and communications. Artists retain copyright of their works, and all image use is promotional and non-exclusive.
Content created by or in collaboration with the Gallery, including photography, video, written material, and promotional assets, remains the property of the Gallery. These materials must not be claimed or reused with other galleries or platforms without written consent.
Artists are encouraged to promote the Gallery and its events, as they are on display during in Gallery in person events. They are also encouraged to promote the online shop via their own social media and websites, and to engage with the Gallery’s platforms by following, liking, commenting, and sharing content. This helps build visibility and supports the success of all represented artists.
Artwork Pricing
The Gallery shall offer each artwork for sale at the Artist’s set floor price, inclusive of GST.
The Gallery may apply discounts only with written authorisation from the Artist, specifying the artwork and the approved discount amount.
As an agent, the Gallery will retain a 40% commission on the floor price of each artwork sold. This commission includes any standard credit card transaction fees, excluding American Express.
Any applicable surcharges (e.g. credit card fees or merchant processing fees) may be passed on to the purchaser at the Gallery’s discretion.
Payment to the artist
The Gallery shall notify the Artist of all sales and provide the artist with a Purchase order with the details required for an invoice from the artist within 2 weeks after the sale.
The Artist is to supply an invoice for all artworks for sale in the Gallery for the Artist’s price of the artwork within 14 days of notification of the sale of works. Invoice to include details of bank account to allow for payment via electronic funds transfer within 30 days of receipt of invoice.
A rate of 40% commission will be deducted from the total sales amount by Feather & Lawry Gallery, and the balance of the total sales price will be paid to the artist promptly.
If a piece is sold during an exhibition, the Gallery will provide a purchase order at the conclusion of the exhibition to allow all pieces sold to be captured in one document and reduce administrative time and costs.
Exhibitions
Exhibition Planning & Timeline
Feather & Lawry Gallery plans its exhibition calendar 12 - 18 months in advance. Represented artists will be invited to submit Expressions of Interest (EOIs) for exhibitions. Once confirmed, exhibition dates will be scheduled and shared with the artist, including installation and demount dates.
Each exhibiting artist will participate in:
Two planning meetings: held approximately two months and one month prior to the exhibition.
A final phone check-in: the week before installation.
Gallery Responsibilities
Feather & Lawry Gallery will:
Coordinate installation over two days prior to the exhibition start
Marketing & Promotion:
Branding digital content
Promotional materials: 2x corflute for the Gallery Signage during the exhibition
Social media promotion
Newsletter campaigns to Gallery marketing list
Host and manage the opening event, including venue setup and packdown, glassware, and bar area
Process all artwork sales and payments
Exhibitions typically include a 2-hour opening event held on Friday evenings, with RSVP management handled by the gallery.
Artist Responsibilities
Upon confirmation of exhibition:

Artists are expected to provide the following at least one month prior to the exhibition:
A complete list of artworks (title, medium, size, floor price)
High-resolution images of all artworks
Artists are also responsible for:
Supplying catering and beverages for the opening event
Organising a guest speaker (if applicable)
Promoting the exhibition via their own networks using gallery-provided branding
Additional Opportunities
Artists may request additional promotional or exhibition opportunities, such as:
Solo exhibition catalogue design
Video or audio promotional content
Extended exhibition duration
Additional event support (e.g. live music, catering coordination)
Advertising materials & distribution; flyers, corflutes
These services will incur additional fees, which will be discussed and agreed upon with the Gallery Coordinator prior to implementation.
Final terms
Either party may choose not to renew representation at the end of the 12-month term.
Should either party wish to terminate representation early, written notice of 30 days must be provided.
Outstanding fees or commissions will be settled prior to finalisation of the agreement.
Feather & Lawry Gallery reserves the right to reconsider an artist’s representation if no artwork sales occur within a 12-month period. In such cases, the gallery may initiate a review of the artist’s engagement and representation status, with the option to conclude the agreement at the end of the term or earlier by mutual agreement.
Agreement
This agreement constitutes the entire agreement between the parties and supersedes any previous agreement.
